SUPPLIER CODE OF ETHICS AND CONDUCT

1.0 INTRODUCTION

At GrupoBD, we firmly believe that integrity and ethics are fundamental to long-term success and sustainability. This commitment is reflected not only in our internal operations but also in our relationships with the groups we interact with. Therefore, we have developed this Supplier Code of Ethics and Conduct (hereinafter, the "Code") to establish a clear framework of expectations and principles to guide the collaboration between GrupoBD and its Suppliers.

Our expectation is that all GrupoBD Suppliers comply with this Code, with all applicable laws, best practices, and international standards to enhance sustainable practices and thus continue to guarantee our customers high-quality services.

We appreciate your cooperation and dedication to ensuring that joint operations are carried out transparently and responsibly. Together, we can build a more sustainable and ethical future.

2.0 SCOPE

This Code applies to all Suppliers of GrupoBD.

For the purposes of this Code, "Supplier" or "Suppliers" means any company, corporation, entity, or individual, including the Supplier's employees, subcontractors, agents, and other third-party representatives that formalize a business relationship with any company that is part of GrupoBD.

3.0 IMPORTANCE OF COMPLIANCE

Compliance with this Code is essential for the well-being of GrupoBD. Failure to comply with these guidelines may have consequences, including the early termination of any contract entered into between the Supplier and GrupoBD.

4.0 SUSTAINABILITY

At GrupoBD, our Sustainability Model is a key reference for value creation in our business strategy, as we continue to work every day for an economic prosperity that promotes the well-being of people and the community, as well as contributing to environmental conservation.

Upon becoming a Supplier of GrupoBD, you must:

  1. Be familiar with GrupoBD's Sustainability Policy and adopt Social Responsibility management in your operations.
  2. Minimize the environmental impact of your operations, products, and/or services, as well as comply with all applicable environmental regulations and permits.
  3. Promote and/or participate in initiatives that contribute to improving the social conditions of the communities where you operate.
  4. Guarantee the existence of adequate and effective management systems, policies, procedures, and training to ensure continuous compliance with this Code.

5.0 ANTI-CORRUPTION PRACTICES

The Supplier shall operate legally and in compliance with all applicable laws and regulations, as well as all applicable international agreements, including anti-corruption laws. Therefore, the Supplier must at all times adhere to GrupoBD's Anti-Corruption Policy.

The Supplier commits to reporting corrupt practices in any form that come to its knowledge through the reporting channels that GrupoBD has for this purpose on the following website: https://www.grupobd.mx/acercarte.

6.0 CONFLICT OF INTEREST

The Supplier must inform GrupoBD's representatives of any conflict of interest arising from any commercial transaction between the two parties. Likewise, the Supplier must report any potentially illegal operations of which it becomes aware.

Any situation that constitutes, or could give rise to, a conflict of interest must be avoided and reported immediately to GrupoBD's representatives.

7.0 CRIMINAL CONDUCT

The Supplier must inform GrupoBD's representatives of any conflict of interest arising from any commercial transaction between the two parties. Likewise, the Supplier must report any potentially illegal operations of which it becomes aware.

8.0 LABOR AND HUMAN RIGHTS

At GrupoBD, we recognize and respect the fundamental human rights of all individuals we interact with, always treating them with dignity and respect. In this sense, we expect our suppliers to commit to:

  1. Comply with all applicable national and international treaties, laws, and regulations for the prevention of the commercial sexual exploitation of children and adolescents, expressly rejecting any relationship with companies or individuals in their value chain that participate in or promote these practices, which violate human rights.
  2. Reject any type of discrimination, whether based on sexual preference, political or religious ideology, physical or social condition, age, origin, nationality, gender, or race.
  3. Guarantee the voluntary nature of work for all individuals and the freedom of workers to terminate their employment in accordance with current laws and regulations. Likewise, reject any form of forced or compulsory labor in their organization and supply chain, adopting the necessary measures to prevent and/or eradicate it.
  4. Respect the rights of workers to freely associate with others, form and join (or refrain from joining) organizations of their choice, collectively bargain, and communicate openly without fear of harassment, intimidation, discrimination, sanction, interference, or retaliation.
  5. Not employ persons under the age of 15, unless local legislation specifies a lower limit of 14 years. In accordance with ILO Convention 138, workers under the age of 18 shall not perform hazardous work.
  6. Not engage in acts of inhuman treatment of workers, including any workplace harassment and bullying, sexual harassment or abuse, corporal punishment, mental or physical coercion, verbal abuse, or threats.
  7. Worker remuneration must comply with all applicable labor laws regarding wages, including provisions on minimum wages, working hours, overtime, and legal benefits.

9.0 CONFIDENTIALITY

The Supplier must at all times protect GrupoBD's confidential information and may only use it if duly authorized in writing by GrupoBD's representatives.

The Supplier must comply with information security, personal data protection, and privacy laws and regulations in accordance with applicable legislation. Furthermore, it must ensure it has the appropriate legal, technical, and security controls in place to protect GrupoBD's confidential information. Confidential information includes, but is not limited to: business plans, marketing plans, personal information, trade secrets, and intellectual property. The Supplier may not use, disclose, or share this information outside the requirements defined in the contract signed with GrupoBD.

The Supplier's computer systems containing confidential information or data belonging to GrupoBD or its employees must be adequately protected against unauthorized access, use, disclosure, modification, or destruction; such information must be used legally, transparently, and securely and retained only for the duration of the contractual relationship with GrupoBD.

10.0 INTELLECTUAL PROPERTY AND REPUTATION

The brands owned by GrupoBD are important assets; therefore, preserving their reputation is essential and fundamental to our present and future success. The Supplier must avoid any act or behavior that could affect the reputation of our brands or any intellectual property rights and must ensure that the services or products provided to GrupoBD do not infringe upon the intellectual property rights of any third party.

11.0 HEALTH AND SAFETY

At GrupoBD, the health and safety of our employees (Arteleros), visitors, customers, users, and suppliers is a priority. We align ourselves with national laws and international standards on Occupational Health and Safety.

For this reason, all suppliers must guarantee compliance with applicable safety measures internally and in the contracted service, such as:

  1. Define the functions and activities of the person responsible for occupational health and safety or the Safety and Hygiene Commission, and follow up to prevent accidents and occupational illnesses.
  2. Provide workers with the corresponding personal protective equipment, as well as guarantee a clean, safe, and healthy work environment.
  3. Establish actions to prevent psychosocial risk factors and workplace accidents through social support, information dissemination, and training.
  4. Foster a favorable organizational environment that allows workers to develop a sense of belonging to the organization.
  5. Ensure the provision of fire safety standards, basic first aid training and emergency care, as well as the proper handling and disposal of hazardous materials.
  6. Comply with the official Mexican standards related to occupational safety and health.

12.0 MANAGEMENT SYSTEM AND GOVERNANCE

At GrupoBD, we fully comply with the laws applicable to us, and therefore we expect all our suppliers to comply with the laws and promote continuous improvement regarding the expectations set forth in this Code.

For this purpose, the following aspects will be considered:

  1. Third-party evaluations: We may request essential information from a third party, for example, a data provider, regarding the supplier's compliance and performance concerning these standards.
  2. On-site audits: We, or an authorized third party acting on our behalf, may contact suppliers and request permission to verify compliance with these standards on-site.
  3. Continuous improvement: Suppliers are expected to take appropriate measures to continuously improve their sustainability performance.

Solo se puede garantizar la sostenibilidad mediante el compromiso conjunto de todas las partes que conforman GrupoBD, por lo que, GrupoBD mantendrá un estrecho diálogo con sus proveedores, esperando que cumplan plenamente con las leyes, que apliquen y respeten los estándares ambientales, sociales y de gobierno corporativo nacional e internacionalmente reconocidos.

13. QUALITY OF SERVICES AND PRODUCTS

GrupoBD's main objective is to exceed the expectations of all our customers by achieving excellence in each of our services. Therefore, we need to be sure that our suppliers apply the highest standards of quality and safety to the products and services contracted by GrupoBD. For this reason, our suppliers must comply with quality, safety, health, and hygiene standards and parameters, according to applicable regulations, for the products and services contracted by GrupoBD.

Every supplier must submit their invoice and the previously authorized purchase order at the time of merchandise reception and must have a duly signed and valid contract with the contracting company of GrupoBD. Likewise, they must previously submit the legal and tax documents requested by the contracting area in accordance with the procedures established by the Legal and Tax department of GrupoBD, including suppliers contracted to provide specialized services (REPSE). Failure to comply with the foregoing will result in the supplier's payment not being processed.

14.0 COMMERCIAL SEXUAL EXPLOITATION OF CHILDREN AND ADOLESCENTS

Among GrupoBD's principles is fostering respect for human dignity, and we reaffirm our commitment to human rights. Therefore, GrupoBD does not conduct operations with individuals or entities that promote the commercial sexual exploitation of children and adolescents, violating the human rights of children.

Consequently, the Supplier must comply with all applicable national and international Treaties, Laws, and Regulations for the prevention of the commercial sexual exploitation of children and adolescents, and we urge our Suppliers to observe good morals by avoiding participation or association with such conduct.

15.0 CODE VIOLATIONS

Any violation of this Code by Suppliers, partners, or commercial allies, as well as by Arteleros (employees), can be reported whenever there is knowledge of non-compliance with this Code.

The reporting channels will be easily accessible to all Arteleros, as well as to Suppliers or commercial partners, who can use the reporting channel through the following means:

Requirements for submitting a report:

  1. Name of the Artelero or Supplier Company (optional)
  2. Detailed description of the facts, circumstances, manner, time, and place
  3. Evidence, if it exists
  4. References to witnesses who are aware of the reported facts

The report can be made anonymously; however, we would appreciate it if you provide your name or your company's name so we can conduct a detailed investigation of the facts, guaranteeing at all times that there will be no harm, retaliation, and/or prejudice against you or your company.

The matter will be handled, according to GrupoBD's internal classification, through the bodies established for handling these matters based on the severity of the conduct and the personnel involved.

16.0 SANCTIONS

The guidelines of this Code are distinct from any contractual agreement between GrupoBD and the Supplier. Therefore, the Supplier is not exempt from complying with the obligations established by applicable legislation or in the contracts signed with GrupoBD.

The Supplier must implement and develop policies and procedures to put this Code into practice and must communicate this Code to all its employees and those who, in any way, are involved in the GrupoBD supply chain.

Regarding compliance with this Code, GrupoBD may conduct random checks on its level of compliance.

If violations of this Code are proven, the Supplier may face different consequences in its contractual relationship with GrupoBD, depending on the severity of the non-compliance, which could include disqualification as a GrupoBD Supplier and the early termination of any contract then in effect, without liability for GrupoBD. This is without prejudice to other legal or administrative actions that may be applicable.
